  • Managing timelines for inspections, Earnest Money Deposits (EMDs), Closing of Escrow (COEs), and other critical dates.
  • Providing real-time updates and a complete audit trail of actions taken within the Service.
  • Learning your specific workflow and adapting its processes automatically over time based on your usage and feedback.

2. User Accounts and Responsibilities

  • Account Creation: To access certain features of the Service, you may be required to create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.
  • Account Security: You are responsible for safeguarding your account password and for any activities or actions under your account. You agree to notify us immediately of any unauthorized use of your account.

    • Overseeing the AI’s actions, especially concerning ordering services and flagging compliance issues.

3. Use of the Service

  • License: Subject to your compliance with these Terms, mytransaction.ai grants you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Service for your internal business purposes related to real estate transaction coordination.
  • Prohibited Uses: You may not:
    • Use the Service for any illegal or unauthorized purpose.
    • Modify, adapt, translate, reverse engineer, decompile, disassemble, or create derivative works based on the Service.
    • Interfere with or disrupt the integrity or performance of the Service or the data contained therein.
    • Attempt to gain unauthorized access to the Service or its related systems or networks.

  • AI Learning and Adaptation: You acknowledge that the Service learns from your specific workflow and adapts automatically. This learning is a core feature of the Service and is used to improve its efficiency and accuracy for you and other users in an aggregated and anonymized manner where appropriate and legally permissible.
  • Accuracy of AI Output: The AI service is trained to interpret complex documents and situations. However, AI is an evolving field, and mytransaction.ai does not guarantee the absolute accuracy, completeness, or suitability of any information, suggestions, or flagged issues provided by the AI. Outputs from the AI should be reviewed for accuracy and appropriateness by a qualified professional.
  • Audit Trail: The Service offers a complete audit trail of actions performed within the platform. While we strive for accuracy and completeness, you are encouraged to maintain your own records as a best practice.

5. Third-Party Services

  • The Service may assist in ordering services from third-party vendors (e.g., inspectors, repair companies).
  • mytransaction.ai is not responsible for the performance, quality, or timeliness of services provided by third-party vendors.
  • Your engagement with any third-party vendor is solely between you and that vendor. Any terms, conditions, warranties, or representations associated with such dealings are solely between you and the vendor. mytransaction.ai shall not be liable for any loss or damage of any sort incurred as the result of any such dealings.

  • THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.
  • THE RESULTS OBTAINED FROM THE USE OF THE SERVICE, INCLUDING ANY FLAGGED COMPLIANCE ISSUES, TIMELINE MANAGEMENT, OR SUGGESTIONS FOR ORDERING SERVICES, WILL BE ACCURATE, RELIABLE, OR COMPLETE.
  • THE SERVICE WILL MEET YOUR SPECIFIC REQUIREMENTS.
  • ANY ERRORS IN THE SERVICE WILL BE CORRECTED.

YOU ACKNOWLEDGE THAT THE SERVICE’S ABILITY TO READ CONTRACTS, FLAG ISSUES, MANAGE TIMELINES, AND ORDER SERVICES IS BASED ON AI ALGORITHMS AND THAT SUCH PROCESSES MAY CONTAIN ERRORS OR OMISSIONS. THE ULTIMATE RESPONSIBILITY FOR THE ACCURACY AND LEGAL SUFFICIENCY OF REAL ESTATE TRANSACTIONS RESTS WITH YOU.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MYTRANSACTION.AI, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE USE OF, OR INABILITY TO USE, THE SERVICE.

THIS INCLUDES, BUT IS NOT LIMITED TO, DAMAGES RESULTING FROM:

  • YOUR RELIANCE ON THE SERVICE TO IDENTIFY COMPLIANCE ISSUES, MISSING SIGNATURES, OR MANAGE DEADLINES.
  • ANY FAILURE OR DELAY IN ORDERING SERVICES, WHETHER INITIATED BY THE AI OR BY YOU THROUGH THE SERVICE.
  • ERRORS OR INACCURACIES IN THE AI’S INTERPRETATION OF CONTRACTS OR DISCLOSURES.
  • FINANCIAL OR LEGAL CONSEQUENCES ARISING FROM MISSED DEADLINES OR INCORRECT ACTIONS SUGGESTED OR TAKEN BY THE AI.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL LIABILITY OF MYTRANSACTION.AI FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE, WHETHER IN CONTRACT, TORT, OR OTHERWISE, SHALL NOT EXCEED THE AMOUNT OF FEES, IF ANY, PAID BY YOU TO MYTRANSACTION.AI FOR THE SERVICE DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES. ACCORDINGLY, SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

11. Indemnification

You agree to defend, indemnify, and hold harmless mytransaction.ai, its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney’s fees) arising from:

  • Your use of and access to the Service.
  • Your violation of any term of these Terms.
  • Your violation of any third-party right, including without limitation any copyright, property, or privacy right.
  • Any claim that your User Data caused damage to a third party.
  • Your reliance on the Service for compliance, timeline management, service ordering, or other transaction coordination activities where professional diligence and final verification by you were required.

This indemnification obligation will survive these Terms and your use of the Service.

12. Governing Law and Dispute Resolution
